ApresentaçãoPresentationThe curricular unit is intended to provide Students with a first approach to the legal regime that characterizes the most relevant subjects of Commercial Law: commercial companies. In particular, it is intended that students are qualified to set up and advise business companies and their partners, identifying in each specific case which type of company is most suitable for structuring a commercial company.

ProgramaProgrammeI - Companies a) the origin, historical evolution and sources of law for commercial companies; b) the identification of business corporations and their distinction from other legal forms of companies; c) the contract and constitution of business companies; d) society as an institution; e) partners of business corporations f) the corporate bodies and the responsibilities of their holders; g) the vicissitudes and dissolution of business corporations.

ObjectivosObjectives1. Specific domain of knowledge: a) Understand the legal regimes applicable to Commercial Companies; b) Know the legal regime of the different types of companies. 2. Mastery of know-how: a) Advise on corporate matters and prepare articles of association and other documentation, in particular corresponding to the functions of a lawyer in a commercial company; b) Strive for the judicial (and extrajudicial) resolution of conflicts related to business corporations;

MetodologiaMethodologyOral presentation of program content, using the Socratic method, in dialogue with students, in a participatory model, where students are invited to delve deeper into topics of greatest interest, using analysis of the most significant jurisprudence, encouraging the formulation of questions, as well as the exercise of the knowledge learned. Students will be assessed, in the continuous assessment, through two tests, each weighing 50%, and through oral presentations in the classroom, also weighing 50%. Students may also be assessed through final exams (written and, if necessary, oral).
